Partner Agreement

This DeskCamera Partner Agreement (“Agreement”) is a legally binding public offer made by DeskCamera Baltic OU, a company incorporated under the laws of Estonia, to any individual or legal entity who accepts the terms and conditions of this Agreement by participating in one or more of the DeskCamera Partner Programs.

By joining any DeskCamera Partner Program, you agree to comply with this Agreement.

 

1. Definitions

  • “DeskCamera” means the software and services offered by DeskCamera Baltic OU.
  • “Partner” means a company or individual accepted into one of our Partner Programs.
  • “Program” means one of the following: OEM Partner Program, Integrator Partner Program, or Affiliate & Reseller Program.

 

2. General Terms (Apply to All Partner Types)

  • All partnerships are non-exclusive.
  • DeskCamera may modify, suspend, or terminate any Partner Program at any time.
  • Partner must not misrepresent their relationship with DeskCamera.
  • Use of DeskCamera trademarks or branding must follow our guidelines.

 

3. Term & Termination

  • This Agreement becomes effective upon your acceptance and remains in force until terminated.
  • Either party may terminate participation in the Partner Program at any time by providing written notice.
  • DeskCamera reserves the right to suspend or terminate your participation immediately and without notice if you violate any part of this Agreement.

 

4. Confidentiality & Intellectual Property

  • All information shared by DeskCamera that is not publicly available is considered confidential and must not be disclosed without prior consent.
  • All rights, titles, and interest in and to DeskCamera software, brand, logos, content, and related intellectual property remain solely with DeskCamera Baltic OU.
  • Partners are granted limited, non-exclusive rights to use branding assets only as provided for in this Agreement.

 

5. Tax Responsibilities

  • Each Partner is solely responsible for complying with their local tax regulations, including the reporting and payment of all applicable taxes and charges related to commissions and revenues earned through the Partner Program.
  • DeskCamera does not withhold or report taxes on behalf of Partners.

 

6. Customer Responsibility Disclaimer

  • DeskCamera is not responsible for any support, warranty, or service claims made to end-users by OEM or Integrator Partners.
  • Any false claims, misleading representations, or misuses of DeskCamera products communicated to end-users by Partners are the full responsibility of the Partner.

 

7. Governing Law & Dispute Resolution

  • This Agreement is governed by the laws of Estonia.
  • Any disputes arising under or in connection with this Agreement shall be resolved in good faith. If a mutual resolution cannot be achieved, the dispute shall be subject to the jurisdiction of the courts of Estonia.
  • The governing language of this Agreement is English. Any translations are for convenience only.

Section A: OEM Partners

1. Eligibility

OEM Partners integrate DeskCamera into their own software or hardware solutions.

2. Customization Options

Several branding options are available, each with different levels of customization and functionality — from Light to Full Enterprise (see details at www.deskcamera.com/oem).

3. License Terms

OEM licenses are sold separately and must be purchased in volume. Each OEM product must contain a valid DeskCamera license.

4. Support & Updates

OEM Partners receive priority support. Updates are either:

  • Free with 50+ licenses purchased in the last 3 months, or
  • Subject to an update fee.

5. Termination

DeskCamera may terminate OEM rights for violation of this agreement, including misuse of branding or unauthorized distribution.

Section B: Integrator Partners

1. Eligibility

Including but not limited to system integrators, IT/security providers, and consultants implementing DeskCamera for clients.

2. Pricing & Discounts

  • 20% base discount
  • 25% discount for 50+ licenses
  • 35% discount for 100+ licenses
  • Discount resets to 20% if no purchase is made within 3 consecutive months.

  • Priority technical support
  • Marketing materials
  • Visibility on DeskCamera website after 50+ sales
  • Ability to request custom features

Section C: Affiliates & Resellers

1. Eligibility

Open to anyone interested in earning with DeskCamera, including but not limited to bloggers, influencers, software marketplaces, and affiliate marketers.

2. Commission Terms

  • 20% commission per paid license sale
  • 30-day cookie tracking
  • Monthly automated payouts
  • Manual payout available by invoice if you are not located in a country supported by our payout partner
  • Minimum payout amount is $50 USD
  • Refunded purchases are not eligible for commission

Referrals older than 30 days and in good standing (i.e. the purchase has not been refunded) will be included with each commission payout (if the commission balance totals $50.00 or over).

We do not use PayPal. Automatic payouts are only possible to your bank account or debit card via our payout partner: https://payouts.sandhillsplugins.com/

We use Sandhills Development, LLC as our only payout partner. Automatic payouts are only available to countries supported by the partner, which include:

United States, Argentina, Australia, Austria, Belgium, Brazil, Bulgaria, Canada, Costa Rica, Croatia, Cyprus, Czech Republic, Denmark, Egypt, Estonia, Finland, France, Germany, Greece, Hong Kong, Hungary, Iceland, India, Indonesia, Ireland, Israel, Italy, Japan, Latvia, Lithuania, Luxembourg, Malaysia, Malta, Mexico, Netherlands, New Zealand, Norway, Peru, Poland, Portugal, Romania, Singapore, Slovakia, Slovenia, Spain, Sweden, Switzerland, Thailand, United Kingdom, Uruguay.

If your country is not listed above, we can discuss manual payouts based on an invoice from you.

Referrals cannot be generated on your own purchases (this includes using a different email address).

We do not offer recurring referrals.

We reserve the right to reject affiliate commissions for any reason. Commission rejections may occur for the following reasons:

  • The sale that the referral was based on was refunded
  • The method by which the referral was generated was in violation of our promotional policies or violated the spirit of the Affiliate Agreement

 

Cookie Lifetime & Referral Validity

  • When a potential customer clicks on your referral link, a tracking cookie is stored in their browser.
  • This cookie remains valid for 30 days.
  • If the customer completes a purchase within this period using the same browser, the referral is credited to you.
  • A referral will not be awarded if:
    • The customer uses a different browser to complete the purchase.
    • The purchase happens after the 30-day window.

 

Dormant Affiliate Accounts

We encourage all affiliates to stay active and engaged. If no referral traffic is generated for more than 6 consecutive months, your affiliate account may be temporarily deactivated. If you’d like help reviving your promotional activity, feel free to reach out — we’re here to support you.

 

Summary of Affiliate Program

  • 20% commission per paid license referral
  • 30-day cookie tracking
  • Minimum payout balance: $50 USD
  • Automatic payouts via supported countries and Sandhills plugin system
  • Manual payouts available upon invoice for unsupported countries
  • Payouts processed monthly for commissions older than 30 days
  • No recurring referrals
  • No self-referrals (even with different email address)

 

Affiliate Dashboard & Tools

As an approved affiliate, you will have access to your personal Affiliate Dashboard, which includes:

  • Real-time tracking of clicks and conversions
  • Referral statistics and analytics
  • Access to branded promotional materials
  • Your referral link and/or discount code
  • Resources to help you optimize your campaigns

 

Promotional Methods

Allowed:

  • Personal blogs, YouTube, social media
  • Software marketplaces
  • Email newsletters (if legally compliant)

Prohibited:

  • Paid advertising using DeskCamera brand keywords (e.g., Google Ads, Facebook Ads)
  • Misleading claims or impersonation of DeskCamera
  • Promotion on illegal or offensive websites
  • Promotion on coupon or deal websites
  • Any type of spam (emails, links, comments, etc.)
  • Cloning DeskCamera’s website or pretending to be DeskCamera

 

Partner Application (applies to all partner types)

  • All partner applications are subject to approval
  • DeskCamera reserves the right to reject or revoke approval at its sole discretion
  • We reserve the right to reject applications without providing a reason
  • Applications from websites or individuals associated with inappropriate, illegal, misleading, or unethical activity will be rejected
  • Examples of inappropriate websites include, but are not limited to: adult content, hate speech, violence, phishing, copyright infringement, hacking, or warez

If we contact you for clarification and receive no response within 7 days, your application may be rejected. You are welcome to reapply with more detail.

 

Updates & Communication

  • All approved partners agree to receive DeskCamera news, program updates, and promotional materials by email
  • These communications may include important changes to the Partner Program and resources to help you promote DeskCamera effectively
